These Terms and Conditions ("Terms") govern your access to and use of the Routescan API services (referred to as the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Definitions
  • 1.1 "API" refers to the Application Programming Interface provided by Routescan that allows you to access and use certain features and data from Routescan.
  • 1.2 "User" or "You" refers to any individual or entity that uses the Services.
  • 1.3 "Plan" refers to the specific subscription package for accessing the API, which may include limits on usage, data access, and other features as described on the Routescan website.
  • 1.4 "Content" refers to all data, information, text, images, videos, and other materials provided or made available by Routescan through the Services.
  • 1.5 "Subscription Fee" refers to the periodic fee associated with your chosen Plan, payable by you for access to the Services.
  • 1.6 "Confidential Information" refers to any non-public, proprietary, or confidential information disclosed by either party in connection with the Services.
2. Account Registration and Responsibilities
  • 2.1 Eligibility: To use our Services, and that you have the authority to enter into these Terms on behalf of yourself or the entity you represent.
  • 2.2 Account Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • 2.3 Account Security: You are solely responsible for maintaining the security of your account and for any actions taken under your account. You agree to notify Routescan immediately of any unauthorized use of your account or any other breach of security.
  • 2.4 Account Termination: Routescan reserves the right to terminate your account at any time, with or without notice, for any reason, including but not limited to a violation of these Terms or inactivity.
3. API Usage and Restrictionss
  • 3.1 License: Subject to your compliance with these Terms, Routescan grants you a limited, non-exclusive, non-transferable, revocable license to access and use the API according to the Plan you have selected. This license is granted solely for your internal business purposes.
  • 3.2 Usage Limits: Your usage of the API is subject to the limits associated with your selected Plan. These limits may include the number of API requests, data volume, or other restrictions. If you exceed these limits, Routescan reserves the right to limit, suspend, or terminate your access to the API.
  • 3.3 API Keys: Access to the API is provided via unique API keys assigned to your account. You are responsible for maintaining the confidentiality of your API keys and for any use of the API through your keys. Sharing or distributing your API keys to unauthorized parties is strictly prohibited.
  • 3.4 Prohibited Uses: You agree NOT to:
    • • Use the API in a manner that exceeds reasonable request volumes or constitutes excessive or abusive usage.
    • • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the API or any part thereof.
    • • Use the API to transmit any content that is illegal, harmful, threatening, defamatory, obscene, infringing, or otherwise objectionable.
    • • Use the API in a way that could damage, disable, overburden, or impair the Services or interfere with any other party's use of the Services.
    • • Resell, rent, lease, or sublicense access to the API or Services to any third party without the prior written consent of Routescan.
    • • Copy, modify or recreate our data, information, text, audio, video or images, software (including machine images) or other documentation and resources that are retrieved or made available through our API Content or any related content;
    • • Use our API Content or any other content to create any software service which directly competes with any of our services;
    • • Manipulate any API Content or related content for resale to a third party;
    • • Use the API Services in a manner that is malicious, harmful or detrimental to us or any third party;
    • • Use the API Services in connection with any illegal activities, such as hacking, phishing or spamming;
    • • Engage in any data mining, data scraping leading to interference with our website or affiliated websites;
    • • Attempt to bypass any implemented security measures;
    • • Use of any screen-scrapers, hacks, spiders, robots, virus, worms, or any tool to access or attack our API Services or affiliated API Services.
    • • Print, download, cache and make copies of API Content derived from the API Services for commercial use.
    • • Reproduce, transmit, broadcast, publish, modify, display, distribute, sell, license, rent, lease or create a derivative form of the API Content or exploit any related content, in whole or in part, in any way that does not comply with these Terms without our prior consent.
  • 3.5 Monitoring and Compliance: Routescan reserves the right to monitor your use of the API to ensure compliance with these Terms. If Routescan determines that your use of the API violates these Terms, it may take any action it deems appropriate, including terminating your access to the API.
4. Payment and Subscription
  • 4.1 Subscription Plans: Access to the API is provided on a subscription basis, with various Plans available as detailed on the Routescan website. Each Plan has specific usage limits, features, and Subscription Fees.
  • 4.2 Subscription Fees: The Subscription Fee for each Plan is billed in advance on a monthly basis, depending on the Plan you select. All payments are non-refundable except as expressly provided in these Terms.
  • 4.3 Payment Methods: You agree to provide a valid payment method at the time of subscription and authorize Routescan to charge your payment method for the Subscription Fees and any applicable taxes. Routescan may use third-party payment processors to process payments.
  • 4.4 Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date. You authorize Routescan to charge the applicable Subscription Fees for the next billing period to your payment method on file.
  • 4.5 Late Payments: If a payment is not successfully processed, Routescan reserves the right to suspend or terminate your access to the Services until payment is made. You may be responsible for any fees or charges incurred due to late payment, including interest and collection costs.
  • 4.6 Taxes: You are responsible for any taxes, duties, or other governmental levies or fees payable in connection with your use of the Services. If Routescan is required to collect such taxes, they will be added to your Subscription Fees.
  • 4.7 Price Changes: Routescan reserves the right to change the pricing of the Services at any time. Any price changes will be effective at the start of the next billing cycle. Routescan will provide you with notice of any price changes at least thirty (30) days in advance.
5. Intellectual Property
  • 5.1 Ownership: All right, title, and interest in and to the Services, including the API, Content, software, and any associated intellectual property, are and will remain the exclusive property of Routescan and its licensors. These Terms do not grant you any ownership rights in the Services or any related technology. Source attribution via a backlink and/or a mention that the data is "Powered by Routescan.io APIs" is required when the data is not used for private purposes.
  • 5.2 Feedback: If you provide any feedback, suggestions, or ideas regarding the Services ("Feedback"), you hereby assign to Routescan all rights, title, and interest in and to such Feedback. Routescan may use the Feedback for any purpose without any obligation to you.
  • 5.3 Trademarks: All trademarks, service marks, logos, trade names, and other proprietary designations of Routescan used herein are the trademarks or registered trademarks of Routescan. You may not use any of these marks without the prior written consent of Routescan.
6. Data Privacy and Security
  • 6.1 Privacy Policy: Your use of the Services is subject to our Privacy Policy, which is incorporated by reference into these Terms. By using the Services, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.
  • 6.2 Data Security: Routescan will implement and maintain reasonable administrative, physical, and technical safeguards to protect your data from unauthorized access, use, or disclosure. However, you acknowledge that no method of transmission over the Internet or electronic storage is completely secure, and Routescan cannot guarantee absolute security.
  • 6.3 Data Processing: In providing the Services, Routescan may process data on your behalf. You agree that Routescan may process such data in accordance with applicable data protection laws and regulations.
  • 6.4 Third-Party Services: The Services may integrate with or allow you to use third-party services. Your use of third-party services is subject to the terms and conditions of those third parties. Routescan is not responsible for the privacy practices or content of any third-party services.
7. Warranties and Disclaimers
  • 7.1 Performance Warranty: Routescan warrants that the Services will perform substantially in accordance with the documentation and specifications provided on the Routescan website. However, Routescan does not warrant that the Services will be error-free, uninterrupted, or free of harmful components.
  • 7.2 Warranty Disclaimer: The Services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. You use the Services at your own risk.
  • 7.3 No Guarantee: Routescan does not guarantee that the Services will meet your requirements, achieve any specific results, or operate without interruption or errors. Routescan shall not be liable for any loss or damage caused by your reliance on the Services.
8. Limitation of Liability
  • 8.1 Exclusion of Damages: To the fullest extent permitted by applicable law, in no event shall Routescan be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or use, whether incurred directly or indirectly, or any loss of goodwill or business reputation, resulting from your use of the Services, even if Routescan has been advised of the possibility of such damages.
  • 8.2 Limitation of Liability: In no event shall Routescan's total liability to you for all claims arising out of or relating to these Terms or your use of the Services exceed the amount paid by you to Routescan for the Services in the twelve (12) months immediately preceding the event giving rise to such liability.
  • 8.3 Acknowledgment: You acknowledge and agree that the limitations of liability set forth in this section are an essential basis of the bargain and that Routescan would not provide the Services without such limitations. Moreover You acknowledge that:
    • a) Any API content obtained from the Services is strictly for personal and informational purposes only. Nothing in the service shall be considered as an offering of investment advice by Routescan or a recommendation as to an investment strategy by us.
    • b) All API content or any related content from the service may not be used as a basis for any financial or commercial gains without our express prior written consent.
    • c) All API services and the API content published may include inaccuracies or errors.
    • d) Routescan does not guarantee the accuracy or completeness of API services or any API content, and disclaims all liability for any errors or other inaccuracies relating to the API services or the API content. Furthermore, Routescan makes no representations that API services or API content will be uninterrupted or operate in combination with any software, service, system or other data or information. Routescan hereby disclaims all warranties and conditions with regard to the API services and API content.
    • e) To the maximum extent by applicable law, Routescan shall assume no liability for any: (i) errors or inaccuracies of any API services or API content;
      • (i) errors or inaccuracies of any API services or API content;
      • (ii) any unauthorized access to or use of our servers;
      • (iii) any interruption of transmission of API services;
      • (iv) bugs, viruses, trojan horses transmitted to or through the API services by any third party;
      • (v) any errors or omissions in any API content or for any loss or damage incurred as a result of the use of any API content posted, or otherwise made available through the API services; and
      • (vi) illegal conduct of any third party.
    • f) In no event shall Routescan be liable for any direct, indirect losses or damages for lost profits, arising out of, or in any way connected with Client’s use of our API service(s) or with the inability to access, display, or use our API services.
9. Indemnification
  • 9.1 Indemnity: You agree to indemnify, defend, and hold harmless Routescan, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with:
    • • Your use of the Services.
    • • Your breach of these Terms.
    • • Your violation of any law or the rights of any third party.
    • • Any content or data that you submit, upload, or otherwise make available through the Services.
  • 9.2 Defense of Claims: Routescan reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate with Routescan's defense of such claims.
10. Termination and Suspension
  • 10.1 Termination by You: You may cancel your subscription and terminate these Terms at any time according to the instructions set in the Routescan website. If you do not want the subscription to continue and be charged for the Service, you must cancel the subscription before the next billing date to avoid being charged for the next subscription period. Payments already made are final and non-refundable and we do not provide refunds or credits for any API Services already paid for and you will not be billed for any additional / renewal subscription term, and API Services will continue until the end of the current subscription term or billing cycle whether or not you choose to utilize the API Services.Routescan shall not be held liable for any damages, losses, or expenses arising from negligence to cancel the subscription.
  • 10.2 Termination by Routescan: Routescan may terminate or suspend your account and access to the Services at any time, with or without cause, and with or without notice. Reasons for termination or suspension may include, but are not limited to, violation of these Terms, non-payment of fees, or unlawful use of the Services.
  • 10.3 Effect of Termination: Upon termination of these Terms for any reason:
    • • All licenses granted to you under these Terms will immediately terminate.
    • • You must immediately cease all use of the Services.
    • • All fees paid are final and non-refundable
    • • Any outstanding balance owed to Routescan for your use of the Services through the effective date of termination will immediately become due and payable.
  • 10.4 Survival: The provisions of these Terms that by their nature should survive termination shall survive termination, including but not limited to provisions related to intellectual property, disclaimers, limitations of liability, indemnification, and governing law.
11. Confidentiality
  • 11.1 Confidential Information: Each party acknowledges that, in connection with the Services, it may have access to or be exposed to Confidential Information of the other party. Confidential Information includes, but is not limited to, non-public technical, business, and financial information, trade secrets, and proprietary information.
  • 11.2 Use of Confidential Information: The receiving party agrees to use the Confidential Information of the disclosing party solely for the purpose of performing its obligations under these Terms and not for any other purpose. The receiving party agrees to protect the Confidential Information from unauthorized use or disclosure with the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable degree of care.
  • 11.3 Disclosure to Third Parties: The receiving party shall not disclose the Confidential Information to any third party without the prior written consent of the disclosing party, except to employees, agents, or contractors who need to know the information for the purpose of performing the receiving party's obligations under these Terms and who are bound by confidentiality obligations at least as restrictive as those contained in these Terms.
  • 11.4 Exclusions: Confidential Information does not include information that:
    • • Is or becomes publicly known through no fault of the receiving party.
    • • Is lawfully received from a third party without any obligation of confidentiality.
    • • Is independently developed by the receiving party without the use of the disclosing party's Confidential Information.
    • • Is required to be disclosed by law or by a court of competent jurisdiction, provided that the receiving party gives prompt written notice to the disclosing party of such disclosure requirement and cooperates with the disclosing party's efforts to seek a protective order or other appropriate remedy.
  • 11.5 Return or Destruction of Confidential Information: Upon termination of these Terms or at the request of the disclosing party, the receiving party shall promptly return or destroy all Confidential Information of the disclosing party in its possession and certify such return or destruction in writing.
12. Governing Law and Dispute Resolution
  • 12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of laws principles.
  • 12.2 Dispute Resolution: Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the Court of International Commercial Arbitration of the Chamber of Commerce and Industry of Romania. The arbitral tribunal shall consist of one member and the seat of the arbitration shall be Bucarest, and the arbitration shall be conducted in the English language, and the decision of the arbitrator(s) shall be final and binding on both parties.
  • 12.3 Injunctive Relief: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its Confidential Information or intellectual property rights.
  • 12.4 Waiver of Jury Trial: Each party hereby waives its right to a trial by jury in any action or proceeding arising out of or relating to these Terms or the Services.
13. Miscellaneous
  • 13.1 Modifications to Terms: Routescan reserves the right to modify these Terms at any time, in its sole discretion. We will provide notice of any significant changes, and your continued use of the Services following such notice will constitute your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue your use of the Services.
  • 13.2 Entire Agreement: These Terms, together with any other agreements or policies referenced herein, constitute the entire agreement between you and Routescan with respect to the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
  • 13.3 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.
  • 13.4 Waiver: No waiver of any provision of these Terms will be deemed a further or continuing waiver of such provision or any other provision, and Routescan's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
  • 13.5 Assignment: You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Routescan. Routescan may freely assign or transfer these Terms, in whole or in part, without restriction.
  • 13.6 Relationship of the Parties: The parties are independent contractors, and nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between the parties. Neither party has the authority to bind the other party to any obligation or to incur any liability on behalf of the other party.
  • 13.7 Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.
